As a condition to registration and bidding, you as the bidder agree to the following:

 

AUCTION REGISTRATION: The online registration is available at www.PamelaRoseAuction.com or on our Mobile App and will need to be completed. Next, you’ll receive an email indicating you must provide proof of funds from your bank that you have sufficient funds to cover the required earnest money down payment before online bidding is enabled and you receive a bid number. This may be accomplished by emailing to info@pamelaroseauction.com prior to the auction. Auctioneer reserves the right to require additional identity verification, bank letters, or proof of funds at any time. Proof of funds consists of a copy or original of a current bank statement or brokerage statement in bidder’s name showing sufficient funds for a $10,000 earnest money deposit.

 

EARNEST MONEY REQUIREMENT: Winning online bidders must deliver earnest money via wire transfer or cashier’s check to Midland Title & Escrow, immediately following the auction, in the amount of $10,000. The successful online bidder will be notified immediately following the closing of the auction and Purchaser needs to sign and return purchase contracts as soon as possible and no later than 24 hours post auction via electronic signature or in person.

Earnest Money Forfeiture: Upon purchaser’s default, the earnest money deposit shall be forfeited immediately as liquidated damages, it being agreed by the parties that actual damages resulting from default would be difficult or impossible to ascertain. The forfeiture of earnest money shall not limit the Seller’s or Auctioneer’s right to pursue additional damages or remedies.

The Purchaser acknowledges that the Property is unique, and the Seller and Auctioneer shall have no obligation to mitigate damages or resell the Property in any particular manner or timeframe. Any funds or property of the Purchaser in the possession of the Auctioneer or its agents may be held and applied as collateral security for the Purchaser’s obligations.

In the event of purchaser default, the earnest money deposit shall be forfeited to the Auctioneer and/or Seller as liquidated damages and may be applied against any deficiency, costs, fees, commissions, or other damages resulting from the default.

The Purchaser is responsible for all bids placed under their bidder number and password and understands that placing a bid constitutes a binding and enforceable contract to purchase the Property under the terms stated herein.

Balance will be paid in full at closing on or before 45 Days After Acceptance.

 

TITLE: A guaranteed certificate of title will be provided at Seller’s expense giving marketable title subject to existing easements and restrictions. The Escrow Agent will be Midland Title; 3355 Briarfield Boulevard, Maumee, Ohio 43537; Office: 419-259-5403.

BUYER’S PREMIUM: Properties will be sold with a ten (10%) percent buyer’s premium. The bid amount plus buyer’s premium equals the final purchase price.

 

BIDDING: All bids must be submitted using the online bidding system. Buyers are responsible to confirm their bids for accuracy. Selecting the Bids tab at any time may do this. Bidders will receive outbid notifications via email up until the last day of the auction, after which time you must log in to the bidding site to confirm your bids. Auctioneer is providing internet bidding as a service to Buyer using a Third-Party Bidding System. Under no circumstances shall Buyer hold Auctioneer liable for system failures resulting in Buyer’s bid not being properly submitted. Bidder represents they are legally capable of entering a binding contract and, if bidding on behalf of an entity, have full authority to do so.

 

If Bidder will be unavailable during the bid ending times, Bidders who desire to make sure that their bid is acknowledged can place maximum bids before the auction ends.

 

Use of the site is at Bidder’s own risk. Bidders shall rely entirely on their own information, judgment, and inspection of property and record. The Auctioneer is not responsible for the actions the Sellers and Buyers take before, during and after the auction. Bid rigging is a federal offense. Bidder certifies they are bidding independently.

Pamela Rose Auction Company, LLC is not responsible for errors made by the mobile bidding platform.  Auctioneer shall not be liable for delays or failures caused by events beyond its control, including natural disasters, system outages, or governmental actions.

 

EXTENDED BIDDING: This online only auction has an extended bidding feature. The closing time of a property is automatically extended 5 minutes whenever a bid is placed in the last 5 minutes of the properties closing time. The bidding for the property will close when a period of 5 minutes has expired without an additional bid.

SPECIAL Terms:

The Bidder(s) and the Auctioneer agree that the terms listed shall govern each and every online auction property. Auctioneer reserves the right to modify the Terms and Conditions and will post any changes to our terms. All registration information the Bidder provides to the Auctioneer shall be current, complete and accurate. All bidders must be 18 years of age or older. The bidder agrees to not use any device, software or routine to interfere or attempt to interfere with the proper working of any transaction being conducted on and during any auction.

Auctioneer reserves the right to make additions and withdrawals of any property before or during the sale and shall have no liability.


As a Bidder, placing a bid is a binding contract between Bidder, Seller and Auctioneer and the bid cannot be retracted. Once Bidder places a bid, and if Bidder wins, Bidder will be obligated to buy the property at the said price indicated as their bid, plus applicable buyer’s premium. Also, the Bidder is responsible for any bids placed under Bidder’s bidding number and password. The security of Bidder’s information is their sole responsibility, and Bidder will be responsible for any and all bids placed under their number. If at any time Bidder feels that their bid number has been compromised, please notify the Auctioneer immediately.

If the Purchaser fails to comply with any term or condition of the auction or the Purchase Agreement—including, without limitation, failure to (a) deliver the required earnest money deposit, (b) execute all required documents within the stated time, or (c) close on the Property by the closing deadline—the Purchaser shall be deemed in default without further notice.

 

Upon default, and in addition to any and all remedies available at law or in equity, the Auctioneer and/or Seller may, at their sole option:

  • cancel the sale,
  • resell the Property, whether at auction or private sale, with or without notice to the defaulting Purchaser,
  • retain and/or apply the Purchaser’s earnest money deposit as liquidated damages,
  • pursue recovery of any deficiency between the defaulting Purchaser’s contract price and the price at which the Property is resold, and
  • recover all costs, fees, charges, commissions (including commissions on both sales), attorney fees, collection costs, carrying costs, consequential and incidental damages, and any other expenses arising from the default.

Any disputes arising under these Terms and Conditions or the auction process shall be governed by the laws of the State of Ohio, and venue shall lie exclusively in the courts of Lucas County, Ohio.

 

The sale is not contingent upon inspection, financing, appraisal, or any other buyer conditions. All bids are final and non-contingent.

 

Purchaser acknowledges the opportunity to inspect the Property prior to bidding and agrees to rely solely on their own inspection and judgment. Time is of the essence in all respects of this transaction.
